These Terms & Conditions govern all services provided
by C2I Logistics Private Limited, a company incorporated
in India under the Companies Act 2013.

  1. SCOPE OF SERVICES

C2I Logistics Private Limited provides logistics and
trade services to clients importing goods from China
to India, including:

  • Door-to-Door Import Services

  • China Product Sourcing & Supplier Verification

  • Pre-Shipment Quality Inspection

  • International Freight (Air, Sea FCL/LCL, Express)

  • Indian Customs Clearance

  • DDP Shipping (Delivered Duty Paid)

  • Container Booking Services (FCL & LCL)

  • China Warehousing & Cargo Consolidation

  • Buying & Purchasing Agent Services

  • Supplier Payment Solutions

The scope of services for each engagement is confirmed
in writing via email or formal quotation before
commencement of work.

  1. QUOTATIONS & PRICING

3.1 All quotations are valid for 7 days from the date
of issue unless otherwise stated in writing.

3.2 Quoted prices are based on information provided
by the client. Changes to cargo weight, volume,
dimensions or destination may result in revised pricing.

3.3 Customs duties, IGST, port charges, and government
levies are estimated where quoted and subject to
revision based on actual assessment by Indian customs
authorities.

3.4 All prices are exclusive of GST unless explicitly
stated otherwise. Applicable GST will be added to
all invoices.

3.5 C2I Logistics reserves the right to revise pricing
in the event of significant changes in freight rates,
fuel surcharges, or government-imposed levies after
a quotation has been accepted.

  1. PAYMENT TERMS

4.1 Standard payment terms are 100% advance before
services commence unless a credit facility has been
separately agreed in writing.

4.2 All invoices are due within 7 days of issue
unless otherwise agreed.

4.3 C2I Logistics reserves the right to suspend
services in the event of non-payment of outstanding
invoices without liability to the client.

4.4 Late payments are subject to interest at 18%
per annum calculated from the due date.

4.5 Payments to Chinese suppliers processed through
C2I Logistics payment services are subject to
prevailing forex rates at the time of transfer,
confirmed in writing before initiation.

  1. CLIENT RESPONSIBILITIES

The client agrees to:

5.1 Provide accurate and complete information
including correct product description, HS code,
declared value, quantity and country of origin.

5.2 Hold a valid Import Export Code (IEC) issued
by DGFT for all commercial import transactions.

5.3 Be registered under GST where applicable and
provide a valid GSTIN for all invoices.

5.4 Ensure all imported goods comply with Indian
import regulations, BIS standards, FSSAI requirements,
and all applicable statutory requirements for
their product category.

5.5 Not import prohibited or restricted goods without
proper licences and government approvals.

5.6 Provide accurate and truthful information for
customs declarations. C2I Logistics will not be
liable for penalties, delays or consequences arising
from inaccurate information provided by the client.

  1. LIMITATION OF LIABILITY

6.1 C2I Logistics acts as a logistics service provider
and agent. We are not the carrier, insurer,
manufacturer or supplier of goods.

6.2 C2I Logistics shall not be liable for loss,
damage, delay or non-delivery of goods caused by
circumstances beyond our reasonable control including
but not limited to: acts of God, war, strikes,
port congestion, customs delays, government action,
or carrier failure.

6.3 Where C2I Logistics is found liable, our maximum
liability shall not exceed the total service fee paid
by the client for the specific shipment in question.

6.4 C2I Logistics is not liable for any indirect,
consequential, or special damages including loss of
profit, loss of business or loss of opportunity
arising from any delay, loss or damage to goods.

6.5 Clients are strongly advised to arrange
comprehensive marine cargo insurance for all
international shipments. C2I Logistics can arrange
cargo insurance on request.

  1. CUSTOMS CLEARANCE

7.1 C2I Logistics provides customs clearance services
through licensed Customs House Agents (CHA) at JNPT
Mumbai, IGI Delhi, Chennai and Kolkata.

7.2 Customs clearance timelines are subject to
inspection, examination, or queries raised by Indian
customs authorities and are not guaranteed where
delays arise from regulatory actions.

7.3 The client is responsible for ensuring all goods
are legally importable into India and that all
required licences, permits and certificates are
in place prior to shipment.

7.4 Any penalties, fines or additional duties imposed
by customs authorities due to incorrect declarations
provided by the client shall be borne solely by
the client.

  1. CARGO INSURANCE

8.1 C2I Logistics does not automatically insure
client cargo unless specifically requested and
confirmed in writing with an additional premium.

8.2 In the absence of cargo insurance, all risk
of loss or damage to goods during transit remains
with the client.

8.3 Claims for loss or damage must be reported to
C2I Logistics in writing within 3 days of delivery
or expected delivery date.

  1. CONFIDENTIALITY

9.1 Both parties agree to keep all business
information, pricing, supplier details and trade
information exchanged during the course of services
strictly confidential.

9.2 C2I Logistics will not share client supplier
details, product information or business strategies
with any third party without written consent.

9.3 C2I Logistics uses client data solely for the
purpose of providing agreed services and does not
sell or share personal data with third parties
for marketing purposes.

  1. INTELLECTUAL PROPERTY

10.1 Any product designs, specifications, brand
names or proprietary information shared by the
client with C2I Logistics for sourcing or
manufacturing purposes remains the sole property
of the client.

10.2 C2I Logistics will not share, reproduce or
use client intellectual property for any purpose
other than fulfilling the agreed services.

10.3 Where requested, C2I Logistics will sign a
Non-Disclosure Agreement (NDA) before sharing
any client product information with Chinese
manufacturers or suppliers.

  1. CANCELLATION & REFUNDS

11.1 Cancellations must be notified in writing
to info@c2ilogistics.com.

11.2 Where services have already commenced,
cancellation charges apply based on work completed
and costs already incurred by C2I Logistics
including freight bookings, inspection fees and
supplier payments made on behalf of the client.

11.3 Refunds, where applicable, will be processed
within 14 working days of cancellation confirmation.

11.4 No refund is applicable for completed services
or where goods have already been shipped.

  1. FORCE MAJEURE

C2I Logistics shall not be in breach of these terms
or liable for any delay or failure to perform where
such delay or failure results from events beyond
our reasonable control including: natural disasters,
pandemics, government restrictions, port closures,
carrier strikes, or any other event of force majeure.
C2I Logistics will notify the client promptly and
work to resolve or minimise any disruption.

  1. GOVERNING LAW & DISPUTES

13.1 These Terms & Conditions are governed by and
construed in accordance with the laws of India.

13.2 Any dispute arising from these terms or from
services provided by C2I Logistics shall first be
attempted to be resolved through mutual discussion
within 30 days of written notice.

13.3 If not resolved amicably, disputes shall be
referred to arbitration under the Arbitration and
Conciliation Act 1996, with the seat of arbitration
in New Delhi, India.

13.4 The courts of New Delhi shall have exclusive
jurisdiction over any matter not resolved through
arbitration.

  1. AMENDMENTS

C2I Logistics reserves the right to amend these
Terms & Conditions at any time. Updated terms will
be published on www.c2ilogistics.com. Continued
use of C2I Logistics services after publication
of updated terms constitutes acceptance.
